FCA XVenture Essential Skills Program Terms of Use

THE AGREEMENT: This Online-Program Agreement (hereinafter, "Agreement") is made by and between Australian Institute of Leadership Pty Ltd. (trading as XVenture) and Football Coaches Australia (FCA), two organisations working in partnership for the FCA XVenture (XV) Skills Program, organized under the laws of the state of New South Wales, Australia, hereinafter collectively referred to as "Program Provider," and you, further defined below, as a participant in the Program, also defined below.

All parts and sub-parts of this Agreement are specifically incorporated by reference here. This Agreement shall govern the use of all pages and screens in and on the Program (all collectively referred to as "Program") and any services provided by or on this Program Provider through the Program ("Services") and/or on the Program Provider's website ("Website").

  1. DEFINITIONS

A) The parties referred to in this Agreement shall be defined as follows:

I) Program Provider, us, we: Program Provider, as the creator, operator, and publisher of the Program, is responsible for providing the Program publicly. Program Provider, us, we, our, ours and other first-person pronouns will refer to the Program Provider, as well as, if applicable, all employees and affiliates of the Program Provider.

II) You, the user, the participant: You, as the participant in the Program and user of the Website, will be referred to throughout this Agreement with second-person pronouns such as you, your, yours, or as user or participant.

III) Parties: Collectively, the parties to this Agreement (Program Provider and You) will be referred to as Parties.

B) The Program details are as follows:

I) Program Name: FCA XVenture Essential Skills Program

II) Program Description: The Essential Skills Program is made up of a series of Modules (1 Emotional Intelligence, 2 Leadership, 3 Communication, 4 Culture, 5 Resilience and Foundations of FCA XV Essential Skills Course), comprising of a minimum of 20 subjects in each module.

III) Total Program Fees ("Fees"): $49 (Australian Dollars) for one Module (of Modules 1-5) or $139 (Australian Dollars) for FCA XV Essential Skills CPD Bundle (3 modules) or $149 (Australian dollars) for FCA XV Essential Skills CPD+RPL Bundle purchased at the same time (“Bundle”). At our discretion, we may review Fees and provide Seasonal or Promotional Specials.

  1. ASSENT & ACCEPTANCE

By purchasing and participating in the Program, you warrant that you have read and reviewed this Agreement and that you agree to be bound by it. If you do not agree to be bound by this Agreement, please cease your participation in the Program immediately. If you do so after purchase, you will not be entitled to any refund. Program Provider only agrees to provide the Program to you if you assent to this Agreement.

  1. LICENSE TO USE WEBSITE & ACCESS PROGRAM MATERIALS

We may provide you with certain information as a result of your accessing of the Program through the Website. Such information may include, but is not limited to, documentation, data, or information developed by us and other materials which may assist in your participation in the Program ("Materials"). Subject to this Agreement, we grant you a non-exclusive, limited, non-transferable and revocable license to use the Materials solely in connection with your participation in the Program and your use of the Website. The Materials may not be used for any other purpose, and this license terminates upon your completion of the Program, your cessation of use of the Program or the Website, or at the termination of this Agreement.

The Materials are for personal use only and may not be streamed, shared or in any way broadcast in a public arena. An example of this would be mirroring the device you are accessing the Program on, on to a TV screen or screensharing in an online forum.

The Program and Materials may not be used for commercial purposes.

  1. PROGRAM TERMS

The Program does not have a structured start date, which means you may begin it at any time. Whether or not the Program has been completed, access will expire the following amount of time after purchase: three (3) months for any individual Module purchased and fifteen (15) months if a Bundle is purchased.

At the completion of a Module, you will receive a certificate evidencing your participation in, and completion of, the Module and accompanying Tests.

The Program and any of its accompanying Materials may not be shared with any party. If we suspect that the Program or Materials are being shared and/or that you have shared your log-in information with any party, we reserve the right to immediately terminate your access to the Program, in our sole and exclusive discretion.

We do not offer any promises or guarantees with regard to our Program or Program Materials. You hereby acknowledge and agree that you are solely and exclusively responsible for the choices that you make with regard to this Program, the Materials contained within it, or any significant changes to your business or life; that you are solely and exclusively responsible for your own mental health, physical health, business decisions, and any other actions or inaction you choose to take; that we are not liable for any result or non-result or any consequences which may come about due to your participation in the Program; and that this Program does not constitute a therapeutic relationship or a medical one.

  1. WITHDRAWAL OF CPD ACCREDITATION

The CPD accreditation previously associated with the FCA XVenture Essential Skills Modules is being withdrawn. CPD accreditation for these Modules will cease with effect from 30 June 2026.

After 30 June 2026, completion of any Module or Bundle, regardless of purchase or completion date, will no longer carry CPD accreditation unless otherwise advised by the Program Provider and relevant accrediting bodies.

This withdrawal relates solely to the accreditation status of the Modules themselves and does not affect any CPD hours already recognised prior to 30 June 2026.

  1. INTELLECTUAL PROPERTY

You agree that the Materials, the Program, the Website, and any other Services provided by the Program Provider are the property of the Program Provider, including all copyrights, trademarks, trade secrets, patents, and other intellectual property ("Company IP"). You agree that the Company owns all right, title and interest in and to the Company IP and that you will not use the Company IP for any unlawful or infringing purpose. You agree not to reproduce or distribute the Company IP in any way without express written permission from the Company.

  1. YOUR OBLIGATIONS

As a participant in the Program, you will be asked to register with us. When you do so, you will choose a user identifier and password and may also provide personal information. You are responsible for ensuring the accuracy and security of this information.

Completion of all tests in each Module you purchase is required, including a minimum pass mark for each Test of a minimum of 75% (if you would like to receive CPD Points and/or Recognition for Prior Learning at affiliated Higher Education Institutions).

You may only attempt Tests a maximum of three times and must achieve the minimum pass mark of 75% in one of those attempts. Certificates of completion will not be issued until the Program Provider can verify this requirement which may take up to three working days.

If you do not achieve the pass mark, the Program Provider will unenroll you and you would need to pay again.

2 CPD Hours will be credited by Football Australia for each completed Module, up to a maximum of 6 CPD hours (3 modules) permitted to count towards licence revalidation in a three year period. CPD accreditation for these Modules will only remain in place until 30 June 2026. After this date, no CPD accreditation will apply.

Recognition of Prior Learning will be granted by participating University Partners only when Modules 1–5 have been completed. Successful completion of Foundations of FCA XV Essential Skills Course will provide 2 CPD hours but does not count towards Recognition of Prior Learning.

  1. PAYMENT & FEES

As noted above, the total Fees for the Program are as follows: $49 (Australian Dollars) for one Module (of Modules 1-5) or $129 (Australian Dollars) for FCA XV Essential Skills CPD Bundle (3 modules) or $149 (Australian dollars) for FCA XV Essential Skills CPD+RPL Bundle purchased at the same time (“Bundle”). At our discretion, we may review Fees and provide Seasonal or Promotional Specials. Fees are payable in full upon registration.

If you do not meet the minimum pass mark requirements and you are seeking CPD Points and/or RPL, then you will need to pay the full Program Fee again for the respective module and complete the minimum requirements.

  1. ACCEPTABLE USE

You agree not to use the Program or Website for unlawful purposes and agree not to engage in prohibited behaviors including harassment, infringement, fraud, dissemination of viruses, unlawful data collection, distribution of obscene material, or any activity which could harm the Program Provider.

  1. AFFILIATE MARKETING & ADVERTISING

We may receive commissions or advertising compensation from third parties. This disclosure complies with governing marketing regulations.

  1. NO LIABILITY

The Program and Website are provided for informational purposes only. No legal, medical, therapeutic or financial relationship is created. Participation is at your own risk.

  1. REVERSE ENGINEERING & SECURITY

You agree not to reverse engineer software or violate program security.

  1. DATA LOSS

We do not assume responsibility for security of your account or data.

  1. INDEMNIFICATION

You agree to indemnify and hold harmless the Program Provider from claims arising from your use of the Program.

  1. SPAM POLICY

Illegal spam activity is prohibited.

  1. MODIFICATION & VARIATION

We may modify this Agreement at any time. Changes take effect upon posting.

  1. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties.

  1. SERVICE INTERRUPTIONS

We may interrupt access for maintenance or emergency reasons without liability.

  1. TERM, TERMINATION & SUSPENSION

We may terminate this Agreement at any time and for any reason. Termination does not entitle you to a refund.

  1. NO WARRANTIES

The Program is provided “as-is” without warranties of any kind.

  1. LIMITATION ON LIABILITY

Our maximum liability is limited to the greater of $100 AUD or the amount paid in the last six months.

  1. GENERAL PROVISIONS

All notices must be in English. This Agreement is governed by the laws of New South Wales, Australia. Disputes will first be addressed in good faith and may proceed to arbitration if unresolved. Assignment, severability, waiver, headings, agency, force majeure, and electronic communications provisions apply as stated herein.
